0. Seller / Operator Information (사업자 정보)

Dropless is operated by [LEGAL NAME / 상호] (the "Operator," "we," "us").

Payments are processed by Lemon Squeezy, LLC as our Merchant of Record (seller of record for payment and tax). Responsibility for providing the service and for responding to customers (including refund and withdrawal requests) rests with the Operator above.

1. Agreement

By creating an account or using Dropless (the "Service"), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind it. If you do not agree, do not use the Service.

2. The Service

Dropless is a developer webhook-delivery platform: you publish events and we deliver them to your configured subscriber endpoints with automatic retries and HMAC signing.

The Service provides at-least-once delivery on a best-effort basis. Webhooks may be delayed, delivered more than once, delivered out of order, or not delivered at all — for example where your endpoint is unavailable, slow, misconfigured, or rejects the request. You are solely responsible for designing your endpoints to be idempotent and to tolerate retries, duplicates, and reordering. We do not guarantee delivery to endpoints we cannot reach.

3. Your Responsibilities and Acceptable Use

You are responsible for all activity under your account, including keeping your API keys and credentials secret. You will not, and will not permit others to:

4. Billing

4.1 Merchant of Record. Lemon Squeezy is the Merchant of Record and seller of record for your purchase. Your payment is made to Lemon Squeezy, charges appear under Lemon Squeezy's descriptor, and Lemon Squeezy calculates, collects, and remits applicable taxes (including VAT / 부가가치세 where required) and issues your receipt / tax invoice. Listed prices may be shown exclusive of tax. The Service itself is provided by the Operator named in Section 0.

4.2 Plans and pricing. The free plan includes up to 50,000 deliveries per calendar month. The paid plan has a base fee of 39,000 KRW per month that includes up to 100,000 deliveries; deliveries beyond that are charged at 1 KRW per delivery. Usage is metered by the number of webhook deliveries we attempt on your behalf during the billing period and is visible on your usage page. There is no automatic spend cap — charges scale with your usage.

4.3 Auto-renewal. Paid plans are recurring subscriptions. Unless you cancel, your subscription automatically renews at the end of each monthly billing period, and the payment method on file is charged the then-current base fee plus any usage above the included allowance. Your renewal date is shown on your billing page.

4.4 Cancellation. You can cancel at any time from the Manage Subscription link on your billing page (provided by Lemon Squeezy). Cancellation stops future renewals; your paid access continues until the end of the period you have already paid for, after which your account reverts to the free plan. Usage already accrued in the current period remains billable at period end.

4.5 Refunds and right of withdrawal (청약철회). Refunds are handled by Lemon Squeezy. If you are a consumer resident in the Republic of Korea, you may withdraw your subscription within 7 days of payment under the 전자상거래법. Because Dropless is a digital service supplied immediately, by starting to use the Service (e.g., publishing events or configuring endpoints) within that period you expressly consent to supply beginning before the withdrawal period ends, and the right to withdraw does not apply to the portion already supplied. For any portion not yet supplied, you may withdraw and receive a refund. Nothing here limits non-waivable rights under the 전자상거래법 or 약관규제법. Requests: email ssin6505@gmail.com.

4.6 Free-plan limit. When you reach the free monthly delivery limit, further publish requests are rejected (HTTP 402) until the next calendar month or until you upgrade.

4.7 Price changes and failed payments. We may change pricing for future billing periods and will give at least 30 days' notice by email before a change takes effect. If a renewal payment fails, your account may be downgraded to the free plan and free-plan limits will apply; we will notify you before downgrading for non-payment.

5. Customer Data — Ownership and License

As between you and us, you retain all rights in the event data and payloads you submit ("Your Content"), and you are solely responsible for it and for having the rights to send it. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service. We retain all rights in the Service, its software, and related intellectual property. Where Your Content contains personal data about your end users, you are the data controller and we act as your data processor; our Privacy Policy governs that processing.

6. Availability, Changes, and Warranty Disclaimer

We may modify, suspend, or discontinue features with reasonable notice for material changes.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any webhook will be delivered, delivered on time, delivered only once, or delivered in order.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither we nor the Operator will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from a delayed, duplicate, out-of-order, or missed delivery, or from your failure to implement idempotency.

Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid in the three (3) months immediately preceding the event giving rise to the claim, or (b) fifty US dollars (USD 50).

Carve-outs. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for intentional or grossly negligent acts. For consumers resident in Korea, the 전자상거래법, 약관규제법, and 개인정보 보호법 prevail over any conflicting limitation in Sections 6 and 7.

8. Indemnification

You will defend, indemnify, and hold harmless Dropless and the Operator from and against any third-party claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of or relating to: (a) Your Content or payloads; (b) your use of the Service in violation of these Terms or applicable law; (c) your sending of events to endpoints you do not control or are not authorized to call; or (d) your infringement or misappropriation of any third party's rights.

9. Suspension and Termination

You may stop using the Service at any time; to stop recurring charges you must also cancel under Section 4.4. We may suspend or rate-limit your account immediately and without prior notice if we reasonably believe it necessary to protect the Service, other users, or third parties — including suspected abuse, security risk, non-payment, or unlawful use. Where practicable we will give notice and an opportunity to cure. On termination we delete or return your data per the retention periods in the Privacy Policy.

10. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, civil unrest, governmental action, labor disputes, internet or telecommunications failures, power outages, or failures of third-party hosting or infrastructure providers (including Railway and Amazon Web Services).

11. Export Control and Sanctions

The Service is operated using infrastructure located in the United States. You represent that you are not located in, and will not use the Service in or for the benefit of, any country or person subject to applicable U.S., Korean, EU, or UN sanctions or export-control restrictions, and that you will comply with all applicable export-control and sanctions laws.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws rules; the UN Convention on Contracts for the International Sale of Goods does not apply. Subject to any mandatory consumer-protection law of your country of residence — and, for consumers resident in Korea, the prevailing application of the 전자상거래법, 약관규제법, and 개인정보 보호법 — you and we submit to the exclusive jurisdiction of the Seoul Central District Court (서울중앙지방법원). Before filing any claim, you agree to first contact ssin6505@gmail.com and attempt in good faith to resolve the dispute informally for at least 30 days.

13. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.

14. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide reasonable notice (for example by email or an in-product or website notice) before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
